Item 8.01 Other Events.

 

On February 3, 2026, Amaze Holdings, Inc. (the “Company”) issued a press release announcing that the Company has cancelled its special meeting of stockholders that was scheduled for Wednesday, February 4, 2026 at 11:00 a.m. Eastern Time (the “Special Meeting”). The proposals set forth in the definitive proxy statement relating to the Special Meeting which was filed with the U.S. Securities and Exchange Commission on November 13, 2025 will instead be presented for stockholder approval at the Company’s next regularly scheduled annual meeting of stockholders. A copy of such press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
